Site License & Subscription Agreement for Institutional Access to caselaw.ninja
Effective Date: [Insert Date] Provider: Riverview Group Holding Inc., operating caselaw.ninja Licensee: [Law Library / Institution Name] (“Licensee”)
1. Grant of License
Riverview Legal Group PC grants the Licensee a non-exclusive, non-transferable license to access and use the caselaw.ninja platform on up to seven (7) designated computers physically located within the Licensee’s library premises.
This license is for on-site use only, limited strictly to the approved number of computers listed in the Licensee's registration form or confirmed in writing.
2. Authorized Users
"Authorized Users" are individuals physically present in the library using the designated computers covered by this license. Remote access — including VPN, proxy, or SSO — is strictly prohibited.
3. Permitted Uses
Authorized Users may:
- Search, view, and print caselaw and legal content on-site
- Use the service for research, academic, or reference purposes
- Download limited excerpts for individual use (no bulk downloads)
4. Prohibited Uses
The Licensee and its users may not:
- Exceed the maximum number of licensed computers (7) without an amended agreement
- Permit access from off-site or mobile devices
- Share content externally or to third-party platforms
- Use the system for commercial legal services, advice, or resale
5. Subscription Terms and Pricing
Licensee agrees to a flat subscription fee of:
- $150 CAD per month, or
- $1,800 CAD per year, both covering up to 7 library-based computers.
This Agreement covers only the licensed device count. Libraries or schools with fewer than 7 computers may be eligible for prorated pricing under a separate agreement.
Invoices are due in advance. Non-payment beyond 30 days may result in service suspension.
6. Access Method
Access will be provided via IP authentication or static device fingerprinting tied to the 7 licensed computers. Installation or configuration may require assistance from the Licensee’s IT team.
No personal logins or federated identity systems will be used.
7. Term and Termination
This Agreement runs on a month-to-month or annual basis depending on payment frequency. Either party may terminate:
- With 30 days written notice, or
- Immediately in the case of a material breach
Upon termination:
- Access will be revoked
- No further use or distribution is permitted
- Locally stored material may be retained only for academic or archival use, and not shared
8. Monitoring and Compliance
The Provider may monitor usage logs, access patterns, and IP/device identifiers to ensure compliance with the 7-computer limit. Unauthorized access may result in suspension pending review.
9. Intellectual Property
All intellectual property, platform content, tools, and infrastructure are the property of Riverview Legal Group PC. The Licensee is granted access rights only, not ownership.
10. Privacy
The system does not require or collect personally identifiable information. Session logs and device data may be used for monitoring and compliance only. See the full privacy policy: caselaw.ninja/privacy
11. Governing Law
This Agreement is governed by the laws of the Province of Ontario, Canada. Disputes will be resolved in the courts located in Toronto, Ontario.
